We advise groups of shareholders, boards of directors and management on a wide variety of corporate governance matters, including legal compliance, fiduciary duties, disclosures, corporate responsibility, and board oversight responsibilities.

Furthermore, we have comprehensive experience in litigations relating to corporate governance, including challenges to board authority, contests for corporate control, and liability of officers and directors for mismanagement or breach of law.

Sample of our experience:

  • Advised members of the board of directors and shareholders of a yacht club in their dispute with the chairman-general manager (the “CGM”) resulting from the latter’s mismanagement of the club’s renovation project;

  • Represented the shareholders of a hotels management company in their dispute with the CGM in relation to his failure to disclose information relating to interested transactions entered into by the company;

  • Advised the shareholders of a regional construction company in relation to the CGM’s breach of his fiduciary duties as well as the irregularity of the general assemblies’ resolutions;

  • Defended the majority shareholders of a regional holding company active in the retail industry in the litigation brought against them for contest of corporate control and abuse of rights;

  • Advised a financial institution which manages investment funds in its dissolution and liquidation.
